Position Summary

 

Responsible for providing wide-ranging legal support to the business and operations activities of the Company through pro-active and effective legal support and management. 

The responsibilities will include providing expertise and leadership to other functions and departments within the Company and advise peers and management on legal risks and business strategy. 

The Rely Senior Legal Counsel shall ensure that his/her scope, as well as the activities of the Company are carried out in compliance with the applicable Company’s rules and standards and shall be responsible to champion and implement all relevant procedures and processes to such effect.
 

Responsibilities

 

•    Draft, vet, negotiate contractual conditions and specifications of different scope of contracts in Infrastructure, Energy transition, tender document/s, various Joint Venture/ consortium agreements, MOUs, technology licensing, NDA’s and other related documents.
•    Provide support, to other relevant functions of the company: Procurement, Finance, Tax, Insurance, HR, Projects, Sub-Contracting, Administration
•    Provide interpretation and analysis of contracts and other documents.
•    Provide Company Secretarial Support 
•    Support on miscellaneous legal issues as may be brought to an in-house counsel. 
•    Deliver training, communicate lessons learned, support risk mapping efforts, operational reviews and provision of compliance related performance data and participating as investigation team lead or member. 
•    Be responsible for the Company’s compliance with any external requirements (laws and regulations) as well as with any internal requirements (Code of Business Conduct or any other policy, standard, procedure, etc.) .  

 
Role requirement

 

The Rely Senior Legal Counsel should:
•    Have excellent drafting and analytical skills 
•    Be at ease (and should have previous experience) with contractual and commercial negotiations with clients and other relevant stakeholders, for supporting / leading negotiations. 
•    Be able to independently prepare, review and interpret legal documents. 
•    Be able to cover tender reviews, contracts qualifications / deviations, risk assessment & mitigation plan of contracts; preparation and negotiations of partnership agreements (e.g. JVs and Consortia), labor / employment and other applicable laws.
•    Be able to prepare standard terms for documents such as purchase orders, subcontracts and flow down conditions.
•    Be able to manage and assist with litigations, charges, claims, employment and labour related matters, compliance matters as necessary individually and with outside legal counsel.
•    Have knowledge of Insurance and Insurance laws related to EPC projects and be able to support on insurance related to EPC projects together with internal subject matter experts.
•    Have knowledge of Intellectual Property principles and practices.


Must Have


    Law Degree from reputed university
     8-12 years, of similar legal experience in EPC/ Oil & Gas industry/Renewable Energy   
    Experience in Contract Management
    Good understanding of and previous experience with intellectual property related matters
    Strong written (including contract/legal drafting) and oral communication skills in English 
    Ability to deliver high-quality work under deadlines 
    Ability to multitask
    Ability to work effectively with people across a wide range of levels and responsibilities
